• Corporations are required to to file the Corporate Statement of Officers required by the Secretary of State EVERY YEAR . Corporations will always file EVERY YEAR now rather than every other year that was effective thru 2002. Over 600,000 of these are filed each year. Filing late can cost additional $250. The regular filing fee goes up frequently from year to year. There is no fee for filing an amendment to the Statement of Officers.
• The information your corporation provides is open to the public. It is used for many purposes. If someone wants to "serve" the corporation, they can serve the "agent" the corporation names on the form.
• Since this is often the last chance way of locating a corporation, the fine for not filing is $250.
